These Terms and Conditions govern access to and use of the SpeakGlobal websites, mobile applications, APIs, and related services provided by DSGNX INC.

1. Introduction and Acceptance

This document forms a legally binding agreement between you, referred to as “Creator” or “you,” and DSGNX INC., referred to as “DSGNX,” “we,” “our,” or “us.” The Services are offered worldwide, and DSGNX intends to comply with all applicable laws and regulations in the regions where our users reside. Accordingly, these Terms are drafted to be compatible with the laws of Alberta and Canada, the European Union, the United Kingdom, the United States, Brazil, India, Australia, Singapore, and any other jurisdictions that mandate specific consumer or data protections.

If you reside in a jurisdiction that imposes additional requirements, these Terms incorporate those requirements to the extent mandated by local law. Should any provision in these Terms conflict with a mandatory local rule that cannot be waived, the local rule prevails solely for users in that jurisdiction and solely to the extent of the conflict.

2. Eligibility

You must be of legal age in your place of residence and possess the legal capacity to enter a binding contract. By using the Services, you represent that you meet these requirements. DSGNX may in its sole discretion refuse or terminate access if it believes you do not meet the eligibility criteria.

3. Account Registration

To use the Services you must create an account, supply accurate information, and maintain the confidentiality of your credentials. You are fully responsible for all activity that occurs under your account. If you suspect any unauthorized access, you must notify DSGNX immediately.

4. License Granted to You

Upon creation of your account and payment of any applicable fees, DSGNX grants you a personal, limited, revocable, non-exclusive, non-transferable license to access and use the Services solely for the purpose of creating, enhancing, and distributing your own audio content. All other rights are reserved by DSGNX and its licensors.

5. User Content and Voice Data

You retain all intellectual-property rights in the audio, text, and metadata you upload or generate through the Services, collectively called “User Content.” To operate the Services, you grant DSGNX a worldwide, royalty-free, sublicensable license to process, store, and transmit your User Content in accordance with your instructions.

When you submit a fifteen-second voice sample, DSGNX generates a proprietary voice model, called a “Voice Token,” unique to your account. The Voice Token is encrypted and is never shared with other users unless you provide explicit, separate consent.

6. Acceptable Use

You agree not to use the Services in any manner that is unlawful, harmful, or abusive. Prohibited activities include the following: • infringing any intellectual-property or pri

Infringing any intellectual-property or privacy rights
Generating or distributing content that is harassing, hateful, or defamatory
Reverse-engineering, decompiling, or otherwise attempting to derive source code from the Services
Circumventing usage limits, security measures, or authentication procedures
Uploading content for which you lack the necessary rights or permissions

DSGNX may suspend or terminate your account if it determines that you have engaged in prohibited conduct.

7. Fees and Payment

The Services follow a freemium business model. Basic features are offered at no monetary charge, while premium tiers require payment of recurring subscription fees. Pricing is displayed at checkout and may be updated from time to time. All fees are exclusive of applicable taxes. Except where local consumer-protection law provides otherwise, payments are non-refundable.

8. Intellectual Property

All software, algorithms, trade names, design elements, and documentation used in or provided through the Services are proprietary to DSGNX or its licensors. No title to, or ownership of, any intellectual property is transferred to you by virtue of these Terms or by your use of the Services.

If you submit suggestions, feedback, or ideas regarding the Services, you grant DSGNX an irrevocable, perpetual, royalty-free right to use that feedback for any purpose without compensation to you.

9. Confidentiality

Each party agrees to protect non-public information disclosed by the other party that is designated, or reasonably should be understood, as confidential. Voice Tokens and any proprietary model parameters are Confidential Information. The receiving party will use Confidential Information solely to fulfill its obligations under these Terms and will protect it using reasonable care. Confidentiality obligations survive any termination of these Terms.

10. Third-Party Services

The Services may interoperate with third-party platforms or contain links to third-party websites. DSGNX is not responsible for the content, actions, or data-handling practices of such third parties. Your use of third-party services is at your own risk and subject to the privacy policies and terms of the respective third parties.

11. Disclaimers of Waranties

The Services are provided on an “as is” and “as available” basis. DSGNX disclaims all representations, warranties, conditions, and guarantees of any kind, whether express, implied, statutory, or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. DSGNX does not warrant that the Services will be error-free, secure, or free from harmful components.

12. Limitation of Liability

To the fullest extent permitted by applicable law, DSGNX, its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages or for any loss of profits, data, or goodwill, even if DSGNX has been advised of the possibility of such damages. DSGNX’s total liability arising out of or relating to the Services will not exceed the greater of one hundred Canadian dollars or the total amount you paid for the Services in the twelve months preceding the event giving rise to liability. Some jurisdictions do not permit certain exclusions or limitations of liability, so the above limitation may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless DSGNX, its affiliates, and their officers, directors, and employees from any claim, demand, or damages, including reasonable legal fees, arising out of your use of the Services, your User Content, or your breach of these Terms.

14. Termination

Either party may terminate the relationship at any time by closing the user account or providing written notice. DSGNX may suspend or terminate the Services immediately if it reasonably determines that you have violated these Terms or that your use poses a security or legal risk. Upon termination, your right to use the Services ceases, but the provisions regarding intellectual property, confidentiality, limitations of liability, and indemnification remain in effect.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada, without regard to conflict-of-laws principles. All disputes arising under or related to these Terms or the Services will be resolved exclusively in the courts located in Calgary, Alberta. If you reside in a jurisdiction that grants you unavoidable consumer protections or dispute-resolution rights, those rights remain unaffected.

16. Export and Sanctions Compliance

You are responsible for ensuring that your use of the Services complies with all applicable export control and sanctions laws of Canada, the United States, the European Union, and any other relevant jurisdiction. You represent that you are not located in a region subject to comprehensive trade embargoes and are not on any government prohibited-party list.

17. Entire Agreement

These Terms constitute the full and complete agreement between you and DSGNX regarding your use of the Services. Any prior agreements, representations, or understandings are superseded by these Terms. If any provision is deemed unenforceable, the remainder of the Terms will continue in full force and effect.
